Summary:	本文研究CEO變動之後，公司治理因素對資本結構的影響，樣本為2000年至2009年間國內上市櫃公司初次總經理異動資料，並使用複迴歸及分量迴歸進行分析。就整體樣本而言，本文並未發現CEO變動之後公司的資本結構有顯著改變；但若針對負債比率偏高或偏低的公司而言，則可發現這兩組公司在CEO變動之後公司的資本結構會明顯地向產業中位數調整。此外本文也發現公司治理因素對公司的資本結構具有影響性，但此影響性具有不對稱性，即「負債比率偏高的公司，公司治理因素對CEO異動後公司負債比率的調整具有顯著地影響；但負債比率偏低的公司，則未能發現此現象」。 Using a sample of 633 CEO turnovers from 633 firms listed on the Taiwan Stock Exchange during the period of 2000-2009, this paper investigates the capital structure change following a CEO turnover. While the debt ratios do not change after CEO turnovers for the whole sample firms, the debt ratios may move toward their industry level for those firms with capital structures which are considerably higher or lower their industry level. In addition, we find these debt ratio changes are closely related to their governance mechanisms. And the effect of corporate governance on capital structure adjustment appears to be more significant for the firm with an excessive debt ratio.
