Summary:	本文主要在探討，成長機會與公司治理對於公司購併後經營績效之影響。本研究以1998年至2007年間進行購併之國內上市櫃電子產業公司為樣本，共計91個樣本。研究結果發現成長機會對於購併後之經營績效會有影響，亦即購併後的經營績效會因為公司成長機會之不同而有所差異。我們發現，成長機會低的公司其購併後之經營績效顯著為負，而成長機會高的公司其購併後之經營績效顯著大於零。此外，我們還以公司治理的董事會結構及股權結構兩大構面，完整的去探討此兩大治理機制對購併後公司經營績效之影響。最後，我們去研究其對於不同的成長機會公司，公司治理機制對其是否會有不同的影響效果。結果發現在購併之前成長機會低的公司，其內部人持股、法人持股、董事長身兼總經理及獨立董事代理變數，皆對購併後公司經營績效產生正的且顯著之影響。 This paper examines the effects of growth opportunities and corporate governance on the performance after merger. Our sample includes 91 bidding firms in electronic industry listed on Taiwan Stock Exchange or over-the-counter market during 1998 to 2007. The results show that companies with high growth opportunities have performance better than the industrial average, while those with low growth opportunities would have performance worse than the industrial average. Furthermore, the results show that low-growth firms with higher insider shareholdings, higher institutional shareholdings, CEO who also serves as chairman of the board, or independent directors would have better performance after mergers.
